Perk.com Acquires Vancouver-based Playerize (dba SuperRewards) for ~$2.1 Million, Plus EarnoutThursday, November 26, 2015
Vancouver, BC, November 26, 2015--(T-Net)--Perk.com Inc. (TSX:PER), a cloud-based mobile rewards platform provider based in Austin, Texas (trades on Canada's TSX exchange), announced today it has acquired Vancouver-based Playerize Network Inc. (d.b.a. SuperRewards), who run an offer wall and direct payments solution for developers.
SuperRewards will reportedly continue to operate as a subsidiary of its new parent organization, with their platform and business continuing to operate going forward.
Founded in 2007, SuperRewards initially got its start monetizing games on Facebook, and has since evolved to include other desktop and mobile products such as Offer Wall, which delivers highly-targeted advertising offers and scores of locally-relevant direct payment methods to millions of online users.
Users can earn virtual currency and goods by completing offers, such as filling out surveys, watching videos, or subscribing to online services while developers are able to monetize non-paying users and obtain performance metrics ranging from 10 to 100 times higher than simple ads.
SuperReward's cofounders, Jeff Magnusson, and Lyal Avery, will be joining the Company.

Under the terms of the transaction Perk issued 455,000 Perk common shares and paid USD $350,000, which values the acquisition at a little over $2.1 million CDN, plus a possible performance bonus.
Editor's Note: The above valuation should be viewed as "approximate", as we do not know the closing date for the issuance of shares to Playerize. At yesterday's closing price of $3.70/share for Perk's shares (on the TSX), it would be approximately $1.68 million CDN share value + $350,000 US in cash ($466,666 CDN) = ~$2.15 million CDN, plus an additional 320,000 shares which are subject to achieving certain performance based targets).
The issuance of an additional 320,000 Perk common shares is subject to certain performance based targets being met in the first 12 months following closing of the transaction.
SuperRewards revenues were $8.4 million for the trailing twelve months ended September 30, 2015 and Perk expects SuperRewards to be EBITDA positive.

SuperRewards was acquired by Playerize, Inc. in 2012 and operates as a fast-moving startup building the next generation for growth and monetization tools for app and game developers.
