The Opportunity:
Reporting to the General Counsel, the Intermediate/Senior Paralegal will be responsible for collaborating on a variety of interesting and challenging work related to the corporate side of our business.
Location of Position:
This position will be based in either one of our four offices: Kanata, ON, Burnaby, BC (Canada), Norwalk, CT or Raleigh, NC (USA)
The Paralegal will: - Maintain the necessary paper and electronic documentation and filings for the subsidiaries of Tantalus so each of the subsidiaries is in good standing in the jurisdictions in which they carry on business, including filing all annual returns
- Prepare and submit corporate filings (including Annual Information Form, Management Proxy Circular, Management, Discussion and Analysis, etc.)
- Draft documentation, including for various corporate transactions such as incorporations, amalgamations, reorganizations, amendments of charter documents, dividend declarations, intercompany agreements, director compensation, etc.
- Complete filings related to insider reporting
- Administer Tantalus' option plan
- Facilitate Board and shareholder meetings
- Assist with the review, drafting and negotiation of various corporate contracts, such as master services, software licenses, subcontractor, nondisclosure, marketing, distributor, reseller, purchasing, consulting and event agreements
- Support the business units with respect to their corporate related inquiries or transactions
- Facilitates standardization of reviews across business segments and smooth flow and even distribution of work
- Participates in risk management teams
- Assist in due diligence reviews
- Research, advise and assist in implementation of document management system, data-room, equity compensation/options
- Work as member of a collaborative team to share their corporate knowledge and take the initiative to identify process improvements
- Provide additional project and legal support as directed by the General Counsel
What you Bring:
Education and Experience:
- Strong knowledge of Canadian and/or US corporate law, federal and provincial securities laws, and option plan administration.
- 7+ years of progressive experience within a corporate practice of a law firm, years of working experience as a corporate paralegal in either a law firm or in another corporate setting
- Bachelor's Degree and Paralegal Certification (or associate degree in paralegal studies) required
- Experience supporting a Corporate Secretary
- Experience and proficiency with public filings, including SEDAR
- Background in M&A diligence and documentation is an asset
- Experience working for a publicly traded company and securities
- Previous experience with software including due diligence data rooms, Dropbox, Box, Shareworks, ComputerShare, Smartsheet, DocuSign, AdobeSign and Carta software preferred.
- Advanced knowledge of Microsoft 365 (Word, Excel, PowerPoint, Sharepoint, Teams)
- Relevant experience dealing with technology commercial agreements including NDAs, partnership agreements, license agreements, IP protection etc. is preferred
